Terms of Service

These terms are an agreement between Quill Hound ("we", "us") and the company or other organization that buys or uses Portal Hound ("you", "Customer"). The person accepting them confirms they're authorized to bind that organization. They cover portalhound.com, the Portal Hound service (the gateway and control plane), and the Portal Hound worker and admin apps (the "Software"). If you have a separate signed agreement with us, it takes precedence where the two differ. Our Privacy Policy and, for data we process for you, our Data Processing Addendum form part of these terms.
1. The service
Portal Hound gives your authorized staff controlled, logged access to the web portals your administrators approve, through a dedicated U.S. gateway. On the Starter, Team and Business plans we build and run the gateway and control plane for you in a dedicated AWS environment. On Enterprise plans and perpetual licences it can be deployed into an AWS account you control, and you're responsible for that account and its AWS charges.
2. Requirements and acceptable use
Portal Hound controls and records how your team reaches portals. It doesn't change who is allowed to use them, or from where. You agree that:
- your agreements with customers, vendors and payers, and each portal's terms of use, permit the offshore access you use Portal Hound for, including any disclosure or approval they require;
- each worker signs in to each portal with credentials issued to them, and you won't use Portal Hound to share logins;
- you'll tell workers that their portal access is logged, and follow the privacy and employment rules where they work;
- you won't use Portal Hound to get around any portal's location rules, sanctions or export controls, to reach systems you aren't authorized to use, to send unlawful content, or to attack, probe or overload any system, including the gateway;
- you won't resell, sublicense or provide Portal Hound to third parties except under a partner agreement with us, and won't reverse engineer the Software except where the law allows it despite this restriction.
You're responsible for your workers' and administrators' use of Portal Hound, for the portals you approve, and for keeping your download link and account links private. We may suspend access that breaks this section or puts the service or others at risk, and will tell you why.
3. The Software
We license your company, for the term of your subscription (or perpetually, for a perpetual licence), to install and use the worker and admin apps built for your company, on your staff's computers, only to use Portal Hound. Each build is for one company: don't share your download page outside it. The apps use WireGuard, which workers install separately under its own license. The open-source components in the Software keep their own licenses; we'll send the list on request.
4. Plans, fees and automatic renewal
- Subscriptions (Starter, Team, Business) are billed in advance, monthly or yearly, at the price shown when you buy, plus applicable tax, and renew automatically for the same period until you cancel. We charge the payment method on file at each renewal.
- Setup fees are one-time and non-refundable once your deployment is complete.
- Perpetual licences are a single payment and don't renew automatically. Updates and support after the first year are optional, at 18% of the licence price per year, and are billed only if you choose to renew.
- Price changes apply from your next renewal, and we'll email you at least 30 days before.
- Worker limits: if you go over your plan's worker limit, we'll ask you to move to the right plan.
5. Cancelling
You can cancel a subscription online at any time, as easily as you signed up: go to portalhound.com/billing, open your account page, and choose "Manage billing or cancel". Your plan stays active until the end of the period you've paid for and then doesn't renew. Fees already paid aren't refunded, except where the law requires. If you bought by invoice, email support@portalhound.com and we'll cancel it the same business day. You can also delete your account from the account page, which cancels billing immediately.
6. Your data
You own your data: your workers' details, approved portals and access logs. We use it only to provide and support Portal Hound, as described in our Privacy Policy and DPA. We don't sell it and don't use it to train AI models. When your service ends, you can export it for 30 days on request, after which we delete your deployment and its data.
7. Availability and support
We work to keep Portal Hound running and fix problems quickly, but we don't promise uninterrupted service or any particular uptime unless a signed support agreement says so. Portal Hound doesn't guarantee access to any portal: the companies that run portals decide who may use them. Support is by email at support@portalhound.com.
8. Healthcare customers
We sign a Business Associate Agreement with customers who need one. Portal Hound helps with access control and audit records; it doesn't make you HIPAA compliant on its own, and your own safeguards, policies and training still apply.
9. Disclaimer of warranties
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, PORTAL HOUND AND THE SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY PORTAL WILL ACCEPT CONNECTIONS FROM IT.
10. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS: (a) NEITHER PARTY IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, EVEN IF TOLD THEY WERE POSSIBLE; AND (b) OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO PORTAL HOUND OR THESE TERMS IS LIMITED TO THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $100. These limits don't apply to your payment obligations, to your obligations in section 11, or where the law doesn't allow them.
11. Indemnity
You'll defend and indemnify Quill Hound against third-party claims, and the resulting losses and reasonable costs, arising from your or your workers' use of Portal Hound in breach of section 2, including use that your agreements or a portal's terms don't permit. We'll tell you promptly about the claim, let you control the defense, and cooperate at your cost.
12. Termination
Either party may end these terms by cancelling as described in section 5, or for the other's material breach that isn't fixed within 30 days of notice. We may suspend or end the service at once for serious breaches of section 2 or non-payment after notice. When the service ends, your licence to the Software ends (except a paid perpetual licence, which continues while you comply with these terms), and section 6 applies to your data. Sections 6 and 9 to 15 survive.
13. Changes to these terms
We may update these terms. We'll post the new version here with a new date and, for material changes, email account contacts at least 30 days before they take effect. If you don't agree, you can cancel before then; continuing to use Portal Hound after that means you accept the new terms.
14. Governing law
These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Each party agrees to the exclusive jurisdiction of the state and federal courts in Texas for any dispute, except that either party may seek urgent injunctive relief anywhere.
15. General
These terms, with the documents they refer to and your order, are the whole agreement about Portal Hound. If a part is unenforceable, the rest stays in force. Neither party may assign them without consent, except to a successor in a merger or sale of the business. Notices to us go to support@portalhound.com; we send notices to your account email. Neither party is liable for delays caused by events beyond its reasonable control.
